Agreement
These terms govern use of the Desk service by an organization (the "Customer") and the people it authorizes ("Users"). By creating an organization or accepting an invitation you agree to them on behalf of yourself and, where applicable, your organization. If a separate written agreement exists between Desk and the Customer, that agreement controls where the two conflict.
The Service
Desk reads files the Customer uploads, derives records and facts from them, answers questions with citations, and runs routines on demand or on a schedule. Answers are generated with the assistance of machine-learning models and may contain errors. Desk is designed to cite sources so Users can verify claims; Users remain responsible for checking answers before relying on them.
Accounts and access
The Customer designates administrators who manage its people and knowledge bases. Users must keep their credentials confidential and use the Service only within the access they have been granted. The Customer is responsible for the acts of its Users.
Customer content
The Customer retains all rights to the files it uploads and the records derived from them ("Content"). The Customer grants Desk a licence to host, process, and display Content solely to provide the Service. Desk does not use Content to train machine-learning models and does not disclose Content except to the processors needed to run the Service, or where required by law.
The Customer is responsible for having the right to upload Content and for ensuring its use in the Service is lawful, including with respect to personal data of third parties contained in it.
Acceptable use
Users may not use the Service to violate law, infringe rights, upload malicious code, attempt to access other customers' data, probe or disrupt the Service, or resell it without agreement.
Fees
Fees, billing periods, and payment terms are set out in the Customer's order or written agreement. Fees are non-refundable except as stated there.
Suspension and termination
Desk may suspend access for non-payment, security risk, or breach of these terms, with notice where practical. The Customer may close its account at any time. On closure, Desk deletes the Customer's Content as described in the Privacy Policy, and will provide an export of Content on request made before closure.
Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only for the purposes of the Service.
Disclaimers
The Service is provided "as is". Desk disclaims implied warranties to the extent permitted by law, including that answers will be complete or error-free. Machine-generated answers are aids to judgement, not substitutes for it.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and Desk's total liability under these terms is limited to the fees paid by the Customer in the twelve months preceding the claim. These limits do not apply to breaches of confidentiality or to a party's indemnity obligations, where agreed.
Changes
Desk may update these terms. Material changes will be notified to organization administrators at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
